Purpose:

Creates a California corporation for up to 10 U.S. and non-U.S. founders.

Terms & Conditions:

Package fee includes California Secretary of State filing fee and California securities filing fee for in-scope items under normal processing. Excludes California registered agent fee.
Excludes expedited processing fees, document retrieval fees, third party costs (if any), and other out-of-scope items.
Attorney consultation will be limited to in-scope items for the applicable period of days, which will begin from the date of your payment.
Additional attorney time will be billed at our standard hourly rates as follows: Partners – $500; Associate Attorneys – $250; Senior Paralegals – $200; and Paralegals – $150.
Following matters are expressly out-of-scope: commercial contracts; financings; M&A; regulatory and tax matters; patents, copyright, and trademarks; litigation; and international transactions.
Assistance will be limited to filling up online forms and obtaining business license online.
Assistance in opening an U.S. business bank account will be limited to providing copies of corporate documents requested by the bank.
Assistance will only cover providing documentation necessary to file 83(b) election. We will not be responsible for 83(b) filings nor provide any financial or tax advice to individual filers.
Contract templates will be limited to the following California agreements: Advisor Agreement; Consulting Agreement; Employment Offer Letter; One-way NDA; Mutual NDA; and IP Assignment Agreement for employees and contractors.
